1. Agreement to Terms
By accessing and using MVP Dev for Startups' services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.
2. Services Description
MVP Dev for Startups provides custom software development services, including but not limited to:
- Minimum Viable Product (MVP) development
- Web application development
- Mobile application development
- Software consulting and strategy
- Technical architecture and design
3. Service Engagement
3.1 Project Scope
All projects begin with a discovery phase to define scope, requirements, and deliverables. A formal statement of work (SOW) will be created and agreed upon before development begins.
3.2 Timeline and Milestones
Project timelines are estimates and may be adjusted based on scope changes, client feedback cycles, and unforeseen technical challenges. We commit to transparent communication about any timeline adjustments.
3.3 Client Responsibilities
Clients are responsible for:
- Providing timely feedback and approvals
- Supplying necessary assets, content, and access credentials
- Designating a primary point of contact
- Making timely payments according to agreed terms
4. Payment Terms
4.1 Pricing and Invoicing
Project pricing will be outlined in the statement of work. Payment schedules typically follow milestone-based or time-based billing structures as agreed upon.
4.2 Late Payments
Invoices are due within 14 days of issuance unless otherwise specified. Late payments may result in project suspension and may incur interest charges.
4.3 Refunds
Refunds are handled on a case-by-case basis. Work completed to date will be billed and is non-refundable. Unused deposits for future work may be refunded at our discretion.
5. Intellectual Property Rights
5.1 Client Ownership
Upon full payment, the client owns all custom code, designs, and deliverables created specifically for their project, except for pre-existing components and third-party libraries.
5.2 Third-Party Components
Projects may utilize open-source libraries, frameworks, and components governed by their respective licenses. Clients are responsible for compliance with these licenses.
5.3 Portfolio Rights
We reserve the right to showcase completed projects in our portfolio and marketing materials unless a non-disclosure agreement specifies otherwise.
6. Warranties and Disclaimers
6.1 Service Warranty
We warrant that services will be performed in a professional and workmanlike manner. Bug fixes for defects in delivered work are provided for 30 days post-launch at no additional cost.
6.2 Disclaimer
Services are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.
7. Limitation of Liability
MVP Dev for Startups shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability shall not exceed the amount paid for the specific service giving rise to the claim.
8. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the engagement. A separate Non-Disclosure Agreement (NDA) can be executed upon request.
9. Termination
Either party may terminate the service agreement with 14 days written notice. Upon termination, the client is responsible for payment of all work completed to date.
10. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws. Any disputes shall be resolved through binding arbitration.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
